Board of Directors Positions and Duties

President

  • Meetings: Set the agenda, preside over the meetings
  • Oversee all operations of the club
  • Regularly check the club website and Facebook pages
  • Ensure that State of Alaska Corporation paperwork is current
  • Leads the board of directors in performing its duties and responsibilities
  • Check the FCC mailbox weekly
  • Keep FCC trailer registration updated

From our bylaws

  • appoint all committees and have the power to remove a member of any committee as deemed necessary for the best interest of the club. 
  • have the power to cast the deciding vote in case of a tie.

Vice President

  • Act as president when the president is unavailable or removed

Secretary

  • Take minutes of the meetings

From our bylaws

  • keep the records of the club, and conduct all official correspondence. 
  • take notes of all proceedings and keep true records of all business transacted at each meeting.

Treasurer

  • Run the club financial accounts
    • Keep any grants in separate accounts
  • Give a financial report at each meeting
    • From statements of financial accounts
    • Make sure minimum amount is in checking account
  • Ensure that IRS paperwork is filed (especially 990 form)

From our bylaws

  • receive all monies and pay all bills properly approved by the club, 
  • keep a true and complete record of all receipts and expenditures, and 
  • keep a complete and accurate record of all club bank accounts and other club financial holdings.

Web Admin (written in our bylaws but not officially filled for some time)

  • Attend meetings
  • Vote as needed

Duties that need to be assigned:

  • Monitor Wild Apricot account
    • Check at least weekly to see if there are any membership applications that need to be approved.
      • Almost all are approved automatically, but occasionally one needs a manual approval. Not sure why

State Corporation Paperwork

Several things need to be kept current with the Division of Corporations, Business and Professional Licensing

  • Maintain a Registered Agent
    • Must be a current officer(member?) of the board
  • Board Membership
    • Update official paperwork whenever there is a 
      • Change to the board membership
      • A name change of any board members
      • An address change for any board members
  • Biennial Report
    • Due every other year
  • Maintain a business license with the state

Internal Revenue Service

We need to file a Form 990 (either a 990, 990-EZ, or a 990-N).

  • Form 990-N. 
    • If an organization normally has gross receipts of $50,000 or less, it must submit Form 990-N, Electronic Notice (e-Postcard) for Tax-Exempt Organizations Not Required To File Form 990 or 990-EZ, if it chooses not to file Form 990 or Form 990-EZ (with exceptions described below for certain section 509(a)(3) supporting organizations and for certain organizations described in Section B, later). See Appendix B for a discussion of gross receipts.
  • Form 990-EZ. 
    • If an organization has gross receipts less than $200,000 and total assets at the end of the tax year less than $500,000, it can choose to file Form 990-EZ, Short Form Return of Organization Exempt From Income Tax, instead of Form 990. See the Instructions for Form 990-EZ for more information. See the special rules below regarding section 501(c)(21) black lung trusts, controlling organizations under section 512(b)(13), and sponsoring organizations of donor advised funds.

When there are changes to the board, especially the president, the club must submit a letter on club letterhead stating who is on the board. (For good measure, submit it with a printout from the Alaska State Division of Corporations "entity" page for the FCC that shows the board makeup.) Turn it in to a clerk at the Geist post office. Request that the president be named as owner of the box.
